The key function of the board is to protect and enhance long term shareholder value. The Board is responsible for the management, administration and overall corporate governance of the Company, including developing strategic direction, establishing goals for management and monitoring achievement of these goals. The role of the Board is defined in the Board Charter, which sets out the functions and responsibilities reserved to the Board and those delegated to Management.
Mr Newman was appointed as Chairman of Gunns in May 2010 and has been a Director of the Company since 2001. He has extensive experience in investment management, merger and acquisition and corporate finance activities. For more than 20 years prior to becoming a public company Director, Mr Newman was a member of the Australian Securities Exchange Limited. Mr Newman is also a current Director of Worldwide Entertainment Limited, Webjet Limited and Austero Limited.
Mr Simmons was appointed as Deputy Chairman in May 2010 and was appointed as a Director of the Company in 2009. Mr Simmons has extensive experience in corporate management and manufacturing businesses. Mr Simmons was formerly the Managing Director of Hills Industries Limited for 24 years. He is currently a Director of Codan Limited.
Mr Millar was appointed as a Director of the Company on January 2007. Mr Millar has extensive experience as a chartered accountant in public practice. He is a Fellow of the Institute of Chartered Accountants in Australia.
Mr Teisseire has been a Director of the Company since 2008. Mr Teisseire is a professional independent non-executive Director. He spent over 20 years in private practice as a corporate lawyer specialising in business and corporate law with a special interest in corporate governance. He is a non-executive Director of Drake Foodmarkets, BSA Ltd and Mesbon China Nylon Ltd.
