The key function of the board is to protect and enhance long term shareholder value. The Board is responsible for the management, administration and overall corporate governance of the Company, including developing strategic direction, establishing goals for management and monitoring achievement of these goals. The role of the Board is defined in the Board Charter, which sets out the functions and responsibilities reserved to the Board and those delegated to Management.
Mr Gay has been a Director of the Company since 1986 and was last re-elected in 2009. He has overseen the development of the group as Managing Director throughout this period. Mr Gay has substantial knowledge of the forestry and manufacturing industries gained through over 30 years experience in management of the group.
Mr Gray has been a Director of the Company since 1996 and was last re-elected in 2007. Mr Gray is an agricultural consultant and is the Chairman of Botanical Resources Australia Pty Ltd, a major producer of pyrethrum. He was a Member of the Tasmanian Parliament for 19 years which included a period as State Premier (1982 – 1989) and Minister for Forests (1984 – 1986).
Mr Newman was appointed as a Director of Gunns in September 2001. Mr Newman is currently Executive Director of corporate finance and advisory company Balnave Corporate Limited. He has extensive experience in investment management, merger and acquisition and corporate finance activities. For more than 20 years prior to becoming a public company director, Mr Newman was a member of the Australian Stock Exchange Limited. Mr Newman is also a current Director of Coneco Limited, Webjet Limited and Austereo Limited and Chairman of Prime Financial Group Limited.
Mr Millar was appointed as a Director of the Company on January 2007. Mr Millar has extensive experience as a chartered accountant in public practice. He is a Fellow of the Institute of Chartered Accountants in Australia.
Mr Teisseire is a professional independent non-executive Director. He spent over 20 years in private practice as a corporate lawyer specialising in business and corporate law with a special interest in corporate governance. He is chairman of Austin Exploration Ltd and is also a nonexecutive director of Drake Foodmarkets, Broadcast Services Australia Ltd and Mesbon China Nylon Ltd.
Mr Simmons was recently appointed as Director. Mr Simmons has worked extensively in the manufacturing industry, most recently as Managing Director of Hills Industries. Mr Simmons is currently Chairman of the South Australian Centre for Innovation and a Director of Codan Limited and the Commercial Motor Vehicle Group.
